Beta Program Terms of Use

These Beta Program Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "Tester," or "you") and Urbangrow LLC ("Urbangrow," "Company," "we," "us," or "our") governing your access to and use of the Urbangrow mobile application currently made available in a beta testing phase (the "Beta App").

By creating an account, downloading, accessing, or using the Beta App, you agree to be bound by these Terms. If you do not agree, you must not access or use the Beta App.

1. Beta Program

The Urbangrow Beta Program provides early access to pre-release versions of the Urbangrow mobile application for the purpose of testing functionality, identifying errors, and providing feedback.

The Beta App:

• Is experimental and pre-release software
• May contain bugs, errors, or security vulnerabilities
• May be modified, suspended, or discontinued at any time

Urbangrow has no obligation to continue development or release a commercial version of the Beta App.

2. Eligibility

You must be at least 18 years old to participate in the Beta Program.

By registering, you represent and warrant that:

• You are legally capable of entering into this agreement
• All information provided is accurate
• You will comply with these Terms and all applicable laws

Urbangrow reserves the right to remove or deny access to any participant at its sole discretion.

3. Account Registration

To access the Beta App, users must create an account and provide:

• Name
• Email address
• Phone number

You agree to:

• Provide accurate and current information
• Maintain the security of your account credentials
• Notify Urbangrow of unauthorized access

You are responsible for all activity occurring under your account.

4. License to Use the Beta App

Subject to these Terms, Urbangrow grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Beta App solely for personal beta testing purposes.

You may not:

• Sell, sublicense, or distribute the Beta App
• Modify or create derivative works
• Reverse engineer, decompile, or attempt to access source code
• Use the Beta App for commercial purposes

5. Confidentiality

The Beta App and its features may include confidential and proprietary information belonging to Urbangrow.

You agree not to:

• Share screenshots or information about unreleased features
• Publicly disclose or publish reviews of the Beta App
• Provide access to non-authorized individuals

This obligation survives termination of your participation.

6. Feedback

As part of the Beta Program, you may submit feedback including:

• Suggestions
• Ideas
• Bug reports
• Feature requests

You agree that:

• All Feedback becomes the property of Urbangrow
• Urbangrow may use Feedback without restriction or compensation
• You waive any claim to ownership of Feedback

7. Acceptable Use

You agree not to:

• Use the Beta App in violation of any law
• Attempt to gain unauthorized access to systems or data
• Upload malicious code
• Harass other users
• Exploit vulnerabilities in the Beta App

Urbangrow may terminate your participation immediately if these terms are violated.

8. Data Collection During Beta

Because this is a testing phase, Urbangrow may collect additional diagnostic information including:

• Device type
• Operating system version
• Crash logs
• Usage analytics
• Feature interaction data

This information helps improve the performance and reliability of the Beta App.

9. No Warranties

THE BETA APP IS PROVIDED "AS IS" AND "AS AVAILABLE."

URBANGROW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• SECURITY OR ERROR-FREE OPERATION

The Beta App may cause:

• Data loss
• Device instability
• Unexpected behavior

You assume all risks associated with its use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, URBANGROW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

• USE OR INABILITY TO USE THE BETA APP
• DATA LOSS
• SYSTEM FAILURES
• SECURITY BREACHES

IN NO EVENT SHALL URBANGROW'S TOTAL LIABILITY EXCEED $100 USD.

11. Intellectual Property

All intellectual property rights related to the Beta App remain the exclusive property of Urbangrow LLC.

These Terms grant only a limited right to use the Beta App and do not transfer ownership rights.

12. Termination

Urbangrow may suspend or terminate your access to the Beta App at any time for any reason.

Upon termination:

• Your license to use the Beta App ends immediately
• You must delete all copies of the Beta App
• Sections regarding confidentiality, liability, and intellectual property will survive termination.

13. Governing Law

These Terms shall be governed by the laws of the State of Illinois, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought exclusively in the courts located in Illinois.

14. Changes to These Terms

Urbangrow may modify these Terms at any time. Updates will be posted in the application or on the Urbangrow website.

Your continued use of the Beta App constitutes acceptance of the updated Terms.
